Welcome to Tally (“App”). These Terms and Conditions (“Terms”) govern your use of the App
provided by Tally, LLC (“Company,” “we,” “us,” or “our”). By accessing or using the App, you
agree to be bound by these Terms. If you do not agree with these Terms, please do not use the
App.

2. Changes to Terms

We may update these Terms from time to time. We will notify you of any significant changes by
posting the new Terms on the App. Your continued use of the App after such changes
constitutes your acceptance of the new Terms.

3. Use of the App

a. Eligibility: You must be at least 18 years old to use the App. By using the App, you
represent and warrant that you meet this age requirement.
b. Account Creation: To access certain features, you may need to create an account. You
agree to provide accurate and complete information and to keep your account information
up-to-date.
c. User Responsibilities: You are responsible for maintaining the confidentiality of your account
credentials and for all activities that occur under your account. You agree to notify us
immediately of any unauthorized use of your account.

4. License

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for
personal, non-commercial purposes in accordance with these Terms.

5. Restrictions

You agree not to:
a. Reproduce, distribute, modify, or create derivative works of the App.
b. Reverse engineer, decompile, or disassemble the App.
c. Use the App for any unlawful purpose or in a manner that could damage, disable, or impair
the App.

d. Interfere with the security or functionality of the App.

6. Payment and Subscriptions

a. Fees: Some features of the App may require payment. All payments are processed through
Apple’s in-app purchase system, and you agree to abide by Apple’s payment policies.
b. Subscriptions: If you subscribe to any services or features, you will be billed according to the
subscription plan you choose. Subscriptions automatically renew unless canceled.
c. Refunds: Refunds are handled by Apple according to their policies. Please refer to Apple’s
guidelines for more information.

7. Intellectual Property

All intellectual property rights in the App and its content, including but not limited to copyrights,
trademarks, and patents, are owned by us or our licensors.

8. Third-Party Links

The App may contain links to third-party websites or services. We are not responsible for the
content or practices of these third parties. Your use of such third-party services is at your own
risk.

9. Privacy

Your use of the App is also governed by our Privacy Policy, which can be found in Privacy Policy. By using the App, you consent to the practices described in the Privacy Policy.

10. Disclaimers

a. No Warranty: The App is provided “as is” and “as available” without warranties of any kind,
either express or implied. We do not warrant that the App will be error-free or uninterrupted.
b. Limitation of Liability: To the maximum extent permitted by law, we are not liable for any
indirect, incidental, special, or consequential damages arising out of your use of the App.

11. Termination

We reserve the right to terminate or suspend your access to the App at our sole discretion, with
or without cause, and with or without notice.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of USA,
without regard to its conflict of laws principles.

13. Dispute Resolution

Any disputes arising under or in connection with these Terms shall be resolved through binding
arbitration in accordance with the rules of the American Arbitration Association, and the
arbitration shall take place in Atlanta, GA.
